Terms of Service

1. Acceptance

These Terms of Service (the "Terms") govern access to and use of revioncaps.com (the "Platform") operated by Stein Consultants LLC d/b/a Revion Caps (the "Company," "we," "us"). By accessing the Platform, applying for a Revion Caps account, or placing an order, you agree to be bound by these Terms.

2. Verified-Professional Eligibility

Revion Caps is a closed-loop, verified-professional wholesale channel. Eligible accounts are limited to: (a) licensed medical professionals and licensed health-care practices; (b) institutional research scientists and qualified research organizations; and (c) qualified organizational purchasers. Retail consumers are not eligible. By registering, you represent and warrant that you fall within an eligible category and that you are purchasing solely in your professional or institutional capacity.

3. Registration & Verification

Access to product information, pricing, and ordering is gated behind the Wholesale Registration process. The Company applies registry-based verification, including NPI lookup against the CMS NPPES registry, ORCID and institutional affiliation verification, and entity verification. No applicant gains access to product information, pricing, or purchase functionality until verification is complete and approval has been issued. The Company may suspend or terminate any account where verification is or becomes invalid.

4. Merchant of Record

Revion Caps is the merchant of record for every transaction. The Company controls the customer-facing checkout, the payment capture infrastructure, and the customer-service function. The Company's billing descriptor is REVIONCAPS or REVIONCAPS. Fulfillment partners do not maintain a payment relationship with you and will not appear on your card statement.

5. Research Use Only; No Human Consumption; No Resale

The products supplied by Revion Caps are for research and professional use only and are not for human consumption. The products are not approved by the U.S. Food and Drug Administration for human use and shall not be administered to, used on, or consumed by any human being. You shall not resell, transfer, or distribute the products to any retail consumer or for any human-consumption purpose. You are responsible for compliance with the laws and standards applicable to your professional or research activity.

6. Pricing, Orders & Acceptance

Pricing displayed to approved accounts may change without notice. All orders are subject to acceptance by the Company. The Company may decline or cancel any order for any reason, including verification failure, suspected diversion, or insufficient quantity.

7. Payment

By submitting payment information, you authorize the Company to charge the card identified for the total order amount, plus applicable taxes and shipping. You confirm that the descriptor on your card statement will read REVIONCAPS or REVIONCAPS.

8. Shipping & Risk of Loss

Orders are shipped by the Company's assigned fulfillment partner on behalf of Revion Caps. Title and risk of loss pass to you upon the carrier's acceptance of the shipment at origin. Tracking information is delivered to you by email when the order ships.

9. Refunds

Refund eligibility is governed by the Refund Policy, which is incorporated by reference into these Terms.

10. Acceptable Use

Your use of the Platform is governed by the Acceptable Use Policy, which is incorporated by reference into these Terms.

11. Privacy

Your information is processed in accordance with the Privacy Policy, which is incorporated by reference into these Terms.

12. Disclaimers

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE PLATFORM AND THE PRODUCTS ARE PROVIDED "AS IS" AND THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCTS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO THE COMPANY FOR THE ORDER GIVING RISE TO THE CLAIM. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, OR PUNITIVE DAMAGES.

14. Indemnification

You shall indemnify and hold harmless the Company against any claim, demand, loss, liability, or expense arising out of (a) your use or downstream use of the products, (b) your breach of these Terms or the policies incorporated herein, or (c) your violation of any law or right of any third party.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

16. Changes

The Company may update these Terms from time to time. The version in effect at the time of each order is the version that governs that order, and that version is recorded with the transaction.
